Please read these Terms and Conditions carefully before engaging the services of Beyond Perspective Projects ("BP Projects", "we", "us", or "our"). By submitting an inquiry, signing a proposal, or engaging our services, you agree to be bound by these terms.
1. Services
BP Projects provides office fit-out, partition installation, data and network cabling, interior design, and architectural design services across the Philippines. The specific scope, timeline, and pricing of services are defined in a written proposal or contract agreed upon by both parties prior to commencement of work.
2. Quotations and Proposals
All quotations provided by BP Projects are valid for thirty (30) days from the date of issuance unless otherwise stated. Quotations are subject to change if the project scope, site conditions, or material costs change after the quotation has been issued. A signed proposal or purchase order constitutes acceptance of the quoted terms.
3. Payment Terms
Payment schedules are outlined in each individual project contract. Generally, projects require a downpayment upon signing, progress payments at defined milestones, and a final payment upon project completion. BP Projects reserves the right to pause work if payments are not received in accordance with the agreed schedule.
4. Client Responsibilities
The client agrees to:
- Provide accurate site information, floor plans, and access to the premises as required.
- Obtain all necessary permits and approvals from building management or authorities where required, unless otherwise agreed in writing.
- Designate a point of contact to provide timely decisions and approvals during the project.
- Ensure a safe and accessible work environment for BP Projects personnel.
5. Project Changes and Variations
Any changes to the agreed project scope must be submitted in writing and will be subject to a variation order. Variation orders may affect the project cost and timeline. Work on variations will only commence upon written approval from the client.
6. Delays
BP Projects will make reasonable efforts to complete projects within the agreed timeline. However, we are not liable for delays caused by factors beyond our reasonable control, including but not limited to: delayed client approvals, restricted site access, utility disruptions, material supply issues, force majeure events, or changes in project scope.
7. Warranty
BP Projects warrants that all work will be completed in a professional and workmanlike manner. Any defects in workmanship reported within thirty (30) days of project handover will be rectified at no additional cost, provided the defects are not caused by client misuse, third-party interference, or normal wear and tear. Warranties on materials and equipment are subject to the terms of the respective manufacturers.
8. Limitation of Liability
To the maximum extent permitted by applicable law, BP Projects shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided. Our total liability in any matter arising out of the services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
9. Intellectual Property
All designs, drawings, plans, and documents prepared by BP Projects remain the intellectual property of BP Projects until full payment has been received. Upon full payment, the client is granted a non-exclusive license to use the delivered design materials for the purposes of the specific project.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the project engagement.
11. Termination
Either party may terminate the agreement with written notice if the other party materially breaches the terms and fails to remedy the breach within fourteen (14) days of receiving notice. In the event of client-initiated termination, the client shall pay for all work completed and materials procured up to the date of termination.
12. Governing Law
These Terms and Conditions are governed by the laws of the Republic of the Philippines. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Makati City, Metro Manila.
